  1. ELECTROHOUSE, INC.
  2. SOFTWARE LICENSE AGREEMENT
  3.  
  4. 1. GRANT OF LICENSE. Electrohouse, Inc. grants you the right to use one copy of the 
  5. enclosed Electrohouse, Inc. software program (the "Software") on a single terminal 
  6. connected to a single computer (i.e., with a single CPU). You may not network the 
  7. Software or otherwise use it on more than one computer terminal at the same time.

  9. 2. COPYRIGHT. The Software is owned by Electrohouse, Inc. and is protected by 
  10. United States copyright laws and international treaty provisions. You must therefore treat 
  11. the Software like any other copyrighted material (e.g., a book or musical recording) 
  12. except that you may either (a) make one copy of the Software solely for backup or 
  13. archival purposes, or (b) transfer the Software to a single hard disk provided you keep 
  14. the original solely for backup or archival purposes. You may not copy the written 
  15. materials accompanying the Software.

  17. 3. TERM OF LICENSE. The license will continue until you physically destroy all copies 
  18. of the Software and merged portions thereof, and return the original program diskette 
  19. and documentation to Electrohouse, Inc.
  20.  
  21. 4. OTHER RESTRICTIONS. You may not rent or lease the Software, but you may 
  22. transfer the Software and accompanying written materials on a permanent basis 
  23. provided you retain no copies and the recipient agrees to the terms of this Agreement. 
  24. You may not reverse engineer, decompile, or disassemble the Software. If Software is 
  25. an update, any transfer must include the update and all prior versions.

  27. 5. ENHANCEMENTS AND UPDATES. From time to time, at its sole discretion, 
  28. Electrohouse, Inc. may provide enhancements, updates or new versions of the Software 
  29. on its then standard terms and conditions thereof. This Agreement shall apply to such 
  30. enhancements.

  32. 6. DUAL MEDIA SOFTWARE. If the Software package contains both 3 1/2" and 5 1/4" 
  33. disks., then you may use only the disks appropriate for your single-user computer. You 
  34. may not use the other disks on another computer or loan, rent, lease, or transfer them to 
  35. another user except as part of the permanent transfer (as provided above) of all 
  36. Software and written materials.

  38. 7. DISTRIBUTION. The control DLL's, OCXÆs and/or VBXÆs distributed with this product 
  39. may be distributed by the user royalty free. Distribution by the user of any designers or 
  40. design time assistants(exeÆs or dllÆs), executables, source code or license files (.LIC) 
  41. distributed by Electrohouse, Inc. as part of this product is prohibited. You shall not 
  42. develop applications that provide an application programmable interface to the Software 
  43. or the Software as modified. Redistribution by your users of ElectrohouseÆs DLLÆs, 
  44. OCXÆs and/or exeÆs or your modified or wrapped version of our OCXÆs without the 
  45. appropriate redistribution license from Electrohouse is prohibited.

  47. LIMITED WARRANTY
  48.  
  49. LIMITED WARRANTY. You assume all responsibility for the selection of the Software as 
  50. appropriate to achieve the results you intend. Electrohouse, Inc. warrants that the 
  51. enclosed diskette medium upon which the Software is recorded shall be free from 
  52. defects in material and workmanship under normal use and conditions, and that the 
  53. Software shall perform substantially as described in it's documentation for a period of 
  54. ninety (90) days from purchase. EXCEPT FOR THE FOREGOING LIMITED 
  55. WARRANTY, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF 
  56. ANY KIND EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO 
  57. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  58. PARTICULAR PURPOSE.

  60. CUSTOMER REMEDIES. Electrohouse, Inc.'s entire liability and your exclusive remedy 
  61. shall be, at Electrohouse, Inc.'s option, either (a) return of the price paid or (b) repair or 
  62. replacement of the Software that does not meet Electrohouse, Inc.'s Limited Warranty 
  63. and which is returned to Electrohouse, Inc. with a copy of your receipt. This Limited 
  64. Warranty is void if failure of the Software has resulted from accident, abuse or 
  65. misapplication. Any replacement Software will be warranted for the remainder of the 
  66. original warranty period or thirty (30) days, whichever is longer.

  68. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall Electrohouse, Inc. 
  69. or its suppliers be liable for any damages whatsoever (including, without limitation, 
  70. damages for loss of business profits, business interruption, loss of business information, 
  71. or other pecuniary loss) arising out of use of or inability to use this Electrohouse, Inc. 
  72. product, even if Electrohouse, Inc. or its dealer have been advised of the possibility of 
  73. such damages. Some states do not allow the exclusion or limitation of certain implied 
  74. warranties or the limitation of the foregoing warranty or the exclusion or limitation of 
  75. incidental or consequential damages, in which case and to the extent such exclusion or 
  76. limitation is not allowed some of the foregoing limitations and exclusions may not apply 
  77. to you.

  79. U.S. GOVERNMENT RESTRICTED RIGHTS
  80.  
  81. U.S. GOVERNMENT RESTRICTED RIGHTS. Use, duplication or disclosure by the 
  82. government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights 
  83. in Technical Data and Computer Software clause at DFARS 252.227-7013 (Oct. 1988) 
  84. and FAR 52.227-19 (June 1987). Contractor is Electrohouse, Inc., Inc., 300/200 Parham 
  85. Street, Suite D, Raleigh, NC 27601.

  87. GENERAL PROVISION. You shall have no right to sub-license any of the rights of this 
  88. agreement, for any reason. In the event of the breach by you of this Agreement, you 
  89. shall be liable for all damages to Electrohouse, Inc., and this Agreement shall be 
  90. terminated. If any provision of this Agreement shall be deemed to be invalid, illegal, or 
  91. unenforceable, the validity, legality, and enforceability of the remaining portions of this 
  92. Agreement shall not be affected or impaired thereby. In the event of a legal proceeding 
  93. arising out of this Agreement, the prevailing party shall be awarded all legal costs 
  94. incurred.

  96. This Agreement constitutes the entire agreement between the parties for the supply of 
  97. the Software and its associated user manuals and supersedes all prior arrangements, 
  98. agreements, representations and undertakings. This Agreement may not be changed or 
  99. modified except by a written instrument duly executed by each of the parties hereto.

  101. MISCELLANEOUS. This Agreement shall be governed by and construed in accordance 
  102. with the laws of the State of North Carolina, without reference to conflict of laws 
  103. principles.
  104.  
  105. You shall be responsible for the payment of all taxes, duties or levies that may now or 
  106. hereafter be imposed by any authority upon this Agreement for the supply, use or 
  107. maintenance of the Software, and if any of the foregoing taxes, duties or levies are paid 
  108. at any time by Electrohouse, Inc., you shall reimburse Electrohouse, Inc. in full upon 
  109. demand.

  111. ACKNOWLEDGEMENTS. You acknowledge that you have read this Agreement, 
  112. understand it and agree to be bound by its terms and conditions.
